Public Offer Agreement

This Agreement is a public offer — a proposal to conclude a sales contract on the terms set out below. By placing an order, the Buyer confirms that they have read these terms and agrees to them.

1. Terms and General Provisions

1.1. Seller — individual entrepreneur Dobrianska Iryna Valentynivna, tax identification number 3305706867, acting on the basis of an entry in the Unified State Register of Legal Entities, Individuals-Entrepreneurs and Public Associations.

1.2. Buyer — a capable individual, an individual entrepreneur, or a legal entity that has placed an Order on the Website.

1.3. Website — the online store SKLO Repair at sklorepair.ua together with all of its pages.

1.4. Goods — spare parts, components, consumables, and equipment for equipment repair located on the Website.

1.5. Order — a properly executed request from the Buyer to purchase Goods, submitted through the Website or by phone.

1.6. Acceptance — full and unconditional acceptance by the Buyer of the terms of this Agreement. Acceptance is deemed to occur when an Order is placed on the Website. From the moment of acceptance, the Agreement is considered concluded in written form in accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine and is equivalent to a contract signed by the parties.

1.7. The Agreement is concluded at a distance and is governed by the Civil Code of Ukraine, the Laws of Ukraine "On Consumer Protection," "On Electronic Commerce," and "On Personal Data Protection."

2. Subject of the Agreement

2.1. The Seller undertakes to transfer Goods to the ownership of the Buyer, and the Buyer undertakes to accept and pay for them on the terms of this Agreement.

2.2. Goods are sold primarily for the needs of service centers and workshops. Prices on the Website are wholesale prices.

3. Goods, Their Description and Availability

3.1. The description, characteristics, quality class, and images of the Goods are provided on its page. Images may slightly differ from the actual appearance of the Goods — the text characteristics are definitive.

3.2. The availability of Goods is shown on its page and in the catalog card. Goods are stored in two warehouses:

3.2.1. Warehouse in Kyiv — Goods are shipped on the day the Order is placed if it is placed on a business day before 17:00 Kyiv time; otherwise — on the next business day.

3.2.2. Warehouse in Europe — shipment every Friday, estimated delivery time — 5 business days. Goods from this warehouse are sold only on the condition of full advance payment.

3.3. Goods from different warehouses cannot be combined in one Order. If Goods from both warehouses end up in the cart, the Order must be split into two.

3.4. The Seller reserves the right to refuse an Order if the Goods are out of stock. The Buyer is notified of this, and the paid funds are returned in full.

4. Price of Goods

4.1. Prices on the Website are stated in Ukrainian hryvnia. The Seller is a payer of single tax and is not a payer of value added tax, therefore a tax invoice for the order is not issued, and prices do not include VAT.

4.2. The price of Goods may be changed by the Seller unilaterally. The price of an already placed and paid Order is not subject to change.

4.3. Delivery costs are not included in the price of Goods and are paid by the Buyer separately according to the carrier's tariffs, except as provided in section 6.5.

5. Discounts

5.1. Registered Buyers receive a cumulative discount on Goods. The base discount is 1% and is provided immediately upon registration.

5.2. For every 50,000 hryvnia of purchased Orders, the discount increases by 1%. The maximum discount is 10%, which is reached at a sum of 500,000 hryvnia.

5.3. Only shipped and received Orders are counted in the calculation. Canceled Orders and incomplete carts are not included in the calculation.

5.4. The Seller may establish an individual discount for a specific Buyer by agreement. In this case, automatic recalculation under sections 5.1–5.2 does not apply.

5.5. The discount is applied to the price of Goods automatically when placing the Order.

6. Order Placement and Delivery

6.1. Orders are placed on the Website or by phone numbers listed in the "Contacts" section. The Buyer must provide accurate information: surname, first name, phone number, email address, and delivery address.

6.2. After placing an Order, the Seller's manager contacts the Buyer to confirm the availability of Goods and shipping conditions, except when the Buyer requested otherwise.

6.3. The Seller is not responsible for the content and accuracy of the information provided by the Buyer or for the consequences of its incorrect provision.

6.4. Delivery is carried out:

6.4.1. by "Nova Poshta" — to a branch, mailbox, or by courier to an address;

6.4.2. by "Ukrposhta" — to a branch;

6.4.3. by Uklon taxi service — within the city of Kyiv, the cost of the trip is paid by the recipient;

6.4.4. by self-pickup at: Kyiv, Beresteysky Avenue, 48A, during the Seller's business hours.

6.5. Delivery is free for Orders totaling 1,000 hryvnia or more.

6.6. Delivery times are determined by the carrier. The Seller is responsible for timely transfer of Goods to the carrier but is not responsible for delays caused by the carrier.

7. Payment

7.1. Order payment is possible by the following methods:

7.1.1. Card online — by Visa, Mastercard and PROSTIR payment cards, as well as via Apple Pay and Google Pay. After placing the Order the Buyer is taken to the secure page of the RozetkaPay payment service, where the card details are entered. Those details do not reach the Seller: the Seller receives only the result of the transaction, its amount, time and the last four digits of the card in masked form.

7.1.2. Bank transfer by invoice — for individuals-entrepreneurs and legal entities.

7.1.3. Cash upon self-pickup.

7.2. Goods from the warehouse in Europe are paid exclusively by full advance payment (section 3.2.2). Cash is not available for such Orders.

7.3. An Order is considered paid from the moment funds are credited to the Seller's account.

8. Payment Data Protection

8.1. Card payments are made through the RozetkaPay payment service. The Seller does not receive, process, or store the payment card number, expiration date, or CVV/CVC code — this information is entered directly on the payment service page.

8.2. Data transmission occurs over a secure encrypted connection. The payment service operates in accordance with the requirements of international payment systems and the PCI DSS security standard.

8.3. Transactions with cards issued by Ukrainian banks are confirmed using 3-D Secure technology.

9. Transfer of Ownership

9.1. Ownership of Goods and the risk of their accidental loss or damage pass to the Buyer from the moment the Buyer or a carrier acting on the Buyer's behalf actually receives the Goods.

9.2. The Buyer must verify the completeness and external appearance of the Goods at the moment of receipt. Claims regarding mechanical damage and incompleteness filed after receipt are not considered.

10. Warranty

10.1. Goods are covered by the Seller's warranty. The warranty period is indicated on the Goods page and is calculated from the day the Goods are transferred to the Buyer.

10.2. The warranty does not apply to Goods that show signs of mechanical damage, moisture exposure, traces of independent repair, or installation that violates technology.

10.3. Since Goods are intended for installation by a qualified specialist, the Seller is not responsible for the consequences of the Buyer's independent installation.

11. Return and Exchange of Goods

11.1. The Buyer has the right to exchange or return Goods of appropriate quality within 14 calendar days from receipt if the Goods have not been used, their commercial appearance and consumer properties are preserved, seals, labels, and the settlement document are intact.

11.2. For a return, the Buyer contacts the Seller by phone or email listed in the "Contacts" section and agrees on the method of return.

11.3. The Buyer pays the cost of return shipping of Goods of appropriate quality.

11.4. Defective Goods are accepted for return or exchange within the warranty period. The Seller bears the shipping costs for such Goods.

11.5. Funds are returned within the time period established by law in the same manner as payment was made. Funds paid by payment card are returned to the same card.

12. Order Cancellation

12.1. The Buyer may cancel an Order before it is transferred to the carrier by notifying the Seller.

12.2. In case of cancellation of a paid Order, funds are returned in full in the manner the payment was made.

12.3. The Seller may cancel an Order if the Goods are out of stock, the Buyer provided inaccurate information, or the Seller was unable to contact the Buyer within three business days.

13. Liability of Parties

13.1. The parties are liable in accordance with the current legislation of Ukraine.

13.2. The Seller is not liable for improper use of Goods or for damage caused as a result of their installation in violation of repair technology.

13.3. The parties are relieved of liability for non-performance of obligations caused by circumstances of force majeure, including military actions, martial law, emergency power outages, decisions of state authorities, and other events that the parties could not foresee or prevent.

14. Personal Data

14.1. By placing an Order, the Buyer consents to the processing of their personal data to the extent and for the purpose determined by the Website's Privacy Policy.

14.2. Personal data is processed for the purpose of fulfilling the Order and is transmitted to carriers and payment services only to the extent necessary for delivery and payment.

15. Term and Amendments to Terms

15.1. The Agreement is effective from the moment of acceptance and until full performance of obligations by the parties.

15.2. The Seller has the right to unilaterally change the terms of this Agreement by posting a new version on this page. The new version becomes effective from the moment of posting and does not apply to already placed Orders.

15.3. The invalidity of a separate provision of the Agreement does not entail the invalidity of the rest of its provisions.

16. Seller Details
